ABOUT THE ROLE
The Commercial Counsel will be a core member of Spellbook’s legal team and a daily, customer-facing partner to the revenue organization. This role is focused on negotiating customer contracts, supporting vendor relationships, and enabling fast, confident deal execution in a modern AI-enabled SaaS business.
This is a hands-on role for a commercially minded lawyer who is comfortable engaging directly with customers and internal stakeholders.
RESPONSIBILITIES
Customer Contracting (Primary)
Review, negotiate, and draft customer-facing agreements, including SaaS agreements, MSAs, NDAs, DPAs, and order forms.
Participate directly in customer negotiations, including live calls with customers and their counsel.
Partner closely with Sales and Security to keep deals moving while appropriately managing risk.
Identify recurring negotiation patterns and contribute to continuous improvement of templates and playbooks.
Vendor & Technology Agreements
Support negotiation and management of vendor, supplier, and technology agreements.
Assist with risk assessment and alignment of vendor terms with Spellbook’s product, security, and data practices.
AI, Product & Marketing Support
Support legal review of AI-related terms, customer questions, and regulatory considerations.
Provide light-touch legal support on product development initiatives and marketing programs.
Assist with review of customer-facing and publicly marketed materials as needed.
Operational Contribution
Help manage contract intake, tracking, and reporting processes.
Use and experiment with AI tools and legal technology to improve efficiency and quality of legal work.
Escalate complex legal or commercial issues to senior legal leadership as appropriate.
QUALIFICATIONS
2–5 years of legal experience, gained at a law firm and/or in-house.
Strong experience negotiating technology or SaaS contracts is required.
Familiarity with AI-related legal issues, data protection concepts, and common privacy frameworks is a plus.
Comfort engaging directly with customers and external counsel.
Strong organizational skills, attention to detail, and comfort working in a fast-paced environment.

Our Compensation Philosophy
Spellbook uses industry benchmark data to establish compensation bands for all roles. The salary range listed for a position reflects the expected total wage range for the role—including base salary and on-target commissions, where applicable—and may span multiple career levels. Final compensation is determined during the interview process based on factors such as experience, skills, scope, and role level. In addition to base salary and applicable commissions, total rewards may include equity, health and wellness benefits, and other company programs.
